Employment Terms and Conditions

This correspondence delineates the comprehensive terms and conditions of service governing your appointment, which are subject to periodic revision. Additionally, you are bound by the terms pertaining to Non-Disclosure, Intellectual Property Assignment, Non-Solicitation, Confidentiality, and Non-Compete agreement, as annexed herewith in Annexure A. Should you require any elucidation regarding policies, rules, or regulations pertinent to your role, we urge you to reach out to the People Function. It is imperative that you maintain confidentiality regarding salary details at all junctures.

Nature of Employment

This offer is predicated upon the understanding that your employment will be on a full-time basis. You are prohibited from engaging in any other form of part-time or full-time work without prior consent from the company. Additionally, this employment is of a continuous nature, and no compensation will be provided for any overtime worked.

Transfer Policy

Your articulated transfer policy succinctly outlines that employees may be subject to relocation to any of the company’s other offices, branches, subsidiaries, or affiliates, both domestically and abroad, when circumstances warrant. During such instances, it is expected that employees will comply with the company’s prevailing rules and regulations specific to their respective roles, grades, or the assigned location.

Innovation and Intellectual Property

Should you conceive any novel or enhanced methods aimed at improving processes, formulae, systems, or products pertinent to the company’s operations, it is imperative that such developments be promptly communicated to the company. Furthermore, it is understood that any intellectual property arising from these innovations shall be considered the exclusive right and property of the company.

Confidentiality

Employees must adhere to strict confidentiality guidelines, refraining from disclosing any proprietary or sensitive information belonging to SGR Software Solution Pvt Ltd.

Non-Compete Agreement

As part of the Code of Conduct, employees are bound by non-compete agreements, restricting their engagement in competing activities during and after their employment with SGR Software.

Ethical Practices

Ethical behaviour is paramount. Employees are expected to act with integrity, honesty, and fairness in all business dealings.

Compliance with Laws and Regulations

Adherence to local and international laws and regulations is mandatory. Employees must conduct their activities in compliance with applicable legal standards.

Employees must promptly disclose any potential conflicts of interest that may compromise the integrity of their decision-making or actions within the company.

Company resources, including but not limited to equipment, software, and facilities, are to be used responsibly and for business purposes only.

Reporting Violations

Employees are encouraged to report any suspected violations of the Code of Conduct promptly. Whistle-blower protection policies are in place to safeguard those who report in good faith.

Disciplinary Action

Violations of the Code of Conduct may result in disciplinary action, including but not limited to warnings, suspension, or termination of employment, depending on the severity of the breach.

Termination Clause

Either party holds the right to terminate the employment by issuing a one-month (30 Days) written notice to the other party. However, if, during the notice period or work continuity, instances of misbehaviour, unauthorized prolonged absence, or disruption of the work environment are observed, the company reserves the right to terminate the employment on the same day without any payment.

Waiver of the notice period, even without providing any reason, is entirely at the discretion of the company.

Should the employee prefer to be released from the notice period, a “buy out” option is available. The amount required to “buy out” the notice period is equivalent to the wages that would have accrued to the employee during the stipulated notice period. The term “wages” is defined broadly under the Employment Ordinance (EO), encompassing most cash allowances. However, it excludes any payments that are gratuitous or discretionary at the employer’s discretion. The EO sets forth the minimum amount that must be paid, and compliance with the more generous terms specified in the contract of employment is required if applicable.

Tax Implications

It is your sole responsibility to make accurate declarations and comply with all associated tax implications for personal income tax purposes.

Background Check & References

As part of our standard procedure, we will be conducting a comprehensive background and reference check on your previous employment details. Within the next few days, we kindly request that you provide documents pertaining to your education, previous employment, and any other documentation that SGR Software Private Limited may deem necessary for this process.

Our authorized partner will be contacting you to facilitate the background check process. Your cooperation in providing relevant details and documents to them is greatly appreciated.

Please note that your commencement of employment with us is contingent upon the receipt of a satisfactory report from the background check, encompassing aspects such as employment history, experience, and work-related information. This check will be conducted by SGR Software Pvt Ltd approved agency.

Performance Management and Salary Review

You will have the opportunity to undergo semi-annual or quarterly performance reviews each year. Your career advancement and salary adjustments will be determined based on your performance and adherence to company policies at the time of review.

Indemnity Clause

The Employee agrees to indemnify the Employer against any liability arising directly from the Employee’s negligence, breach of contract, breach of duty, or breach of trust concerning the affairs of the Employer.

Absences Due to Sickness or Injury

In the event of incapacity resulting from sickness or injury, the Employee is required to promptly inform the HR Manager no later than [Time to report sick] on the first day of absence, providing full details of the reasons for their absence.

For absences lasting four days or less, the Employee must complete a self-certification form for each day of absence upon returning to work.

If the absence exceeds four days, the Employee must furnish the Employer with a medical certificate from a General Practitioner on the fifth day, outlining the reasons for the absence, and provide subsequent certificates for any subsequent periods of absence.

Additionally, the Employee may be required to undergo a medical examination by a registered medical practitioner nominated by the Employer, at the expense of the Employer. Furthermore, if requested, the Employee shall provide blood, urine, or similar specimens for analysis.

Grievances

In the event that the Employee has any concerns regarding their employment, they are encouraged to address them with the HR Manager, either verbally or in writing. For additional information regarding the grievance procedure pertinent to this employment, the Employee is directed to consult the Director.

Data Protection Compliance

The Employee hereby grants consent to the Employer for the retention and processing of personal data furnished by them. This consent encompasses various purposes associated with this employment, including but not limited to the administration and maintenance of personnel records, salary and remuneration reviews, performance appraisals, sickness and absence record-keeping, and decisions related to the Employee’s fitness for work.

Furthermore, the Employee acknowledges and agrees that, post-employment, the Employer may be obligated to disclose personal data pertinent to them in the course of fulfilling its responsibilities as an employer.

Confidentiality Agreement

During the course of employment and thereafter, the Employee is prohibited from disclosing any confidential information pertaining to the Employer, its customers, or suppliers to any individual, unless such disclosure is deemed necessary for the proper conduct of their duties. Additionally, the Employee shall refrain from utilizing any confidential information in a manner that may result in direct or indirect harm to the Employer.

Confidential information encompasses a wide range of data, including but not limited to financial details, commercial insights, technical specifications, sales and marketing strategies, trade secrets, and proprietary application software that is not intended for external distribution.

Property Compliance

The Employee is required to thoroughly review the company’s policies and rules and take necessary actions to ensure compliance. Non-compliance may lead to disciplinary measures and, in severe instances, termination of employment.

SGR Software Solution Pvt Ltd maintains a comprehensive IT, Communications, and Monitoring Policy, a copy of which can be obtained from the company.

The Employee acknowledges that all files, customer records, lists, books, records, literature, software, products, and work products developed during their employment shall remain the exclusive property of SGR Software Solution Pvt Ltd. Additionally, any other materials owned or utilized by the Employer in conducting its business activities are considered the sole property of the Employer. Upon request and upon termination of the Employee’s employment, under any circumstance, the Employee is obligated to surrender to the Employer all such files, customer records, lists, books, records, literature, products, software, work products, and any copies thereof, along with any other property belonging to the Employer.

The company reserves the right to take legal action against individuals involved in the misuse of company properties, information, or engaging in external work, freelance work, or any unauthorized activities.

Commitment

In the capacity of an employee at SGR Software Solution Pvt Ltd, it is imperative that the employee refrains from associating, either directly or indirectly, with any other organization or forming any company that offers similar services. This commitment holds throughout the duration of the employee’s tenure with SGR Software Solution Pvt Ltd.
